Terms of Service

“Platform” — the NODA website (noda.community), applications, and related services operated by NODA.

“Token” — the internal unit of value used within the Platform, backed by the Backing Fund and redeemable at the Base Price.

“Node” — a verified person or business listing services or hosting projects on the Platform.

“Member” — a verified individual who has been admitted to the Platform and may purchase services and participate in events.

“Contributor” — a Member who provides skills or work to Platform projects in exchange for Tokens.

“Backing Fund” — the cash reserve held to guarantee the Base Price of all circulating Tokens. Its balance is public.

“Base Price” — the guaranteed floor price of one Token: $0.01 CAD.

“Referral” — the single-layer reward paid to the Member who introduced a buyer to a Node, registered by the buyer at time of purchase.

“Anchor” — a core founding participant with governance responsibilities as described in the Governance framework.

You must be at least 18 years of age to use the Platform. You must hold valid government-issued identification and complete identity (KYC) verification before purchasing Tokens.

One account per person. Accounts are personal and non-transferable; creating multiple accounts, or an account on behalf of another person, is prohibited.

Tokens may be purchased through the Platform after completing KYC verification. Every Token is backed by the Backing Fund, and its floor value is guaranteed at the Base Price of $0.01 CAD.

You may redeem Tokens at the Base Price at any time from the Backing Fund. Redemption is always available and cannot be suspended by any governance process.

No guarantee is made about any market price above the Base Price. Token value above the floor depends on the growth of the ecosystem, and may go up or down. New Tokens are only issued when real new value enters the ecosystem — supply is never inflated arbitrarily.

Tokens are an internal unit of the Platform. They are not a public cryptocurrency, security, or investment product.

You agree to provide accurate, current information about yourself, and to keep it updated. Anonymous participation and anonymous transactions are not permitted anywhere on the Platform.

You agree not to manipulate the referral system, including registering false referrals, colluding to route referrals, or claiming referrals retroactively.

NODA may suspend or terminate accounts that violate these Terms, misrepresent identity, or harm the community, following the dispute process in Section 8 where applicable. Token redemption at Base Price remains available to suspended accounts.

Nodes must deliver services as listed: descriptions, prices, and deliverables published on the Platform are binding commitments.

Nodes must honor Token pricing, including the Member Token discount they have published, and must accept the automatic referral payout at the percentage they have set.

Service descriptions must be accurate and kept current. Nodes set their own prices, referral percentages, and charity contributions — and may change them for future transactions at any time, but never retroactively.

The referral program is single-layer only: one referral reward per transaction, paid to the Member who made the introduction. There are no chains, tiers, or downlines of any kind.

The buyer registers the referral at the time of purchase. Referral rewards are only paid to verified Members, and cannot be claimed retroactively after a transaction completes.

The following will result in account action and, where relevant, referral to authorities:

identity fraud or misrepresentation of who you are; token manipulation, including wash trading or coordinated price schemes; multi-level marketing or pyramid-style recruitment schemes; misrepresentation of services, qualifications, or project economics; and circumventing the Platform to avoid the transaction model while using its trust infrastructure.

Disputes follow the three-level process described in the Governance framework: platform mediation (5 business days), Node Council review (10 business days), and finally financial arbitration through ENTERTEC INNOVATIONS INC.

These Terms are governed by the laws of British Columbia, Canada. Any proceedings not resolved by the process above take place in the courts of British Columbia.

We collect the information you provide (name, contact details, city, role, and application answers) and transaction records on the Platform. Identity documents are collected only for KYC verification.

Your data is shared only with ENTERTEC INNOVATIONS INC for KYC and regulatory compliance. Your data is never sold, and never shared with advertisers or data brokers.

We may update these Terms as the Platform develops. Material changes are announced at least 30 days before they take effect, by email to registered users and by notice on the Platform. Continued use after the effective date constitutes acceptance.
